1.Introduction and scope

This Privacy Policy describes how Black Key Dynamics, LLC ("Black Key Dynamics," "we," "us," or "our") handles information when you visit our website, request an appointment, use our client portal, attend our educational programs, or engage us for accounting and advisory services. By using our website or services, you agree to this Policy. It works together with our Terms of Service. Our website and services are intended for users in the United States.

2.Information we collect

We collect information in three ways: information you give us, information we collect automatically, and information we receive from third parties.

Information you provide

  • Contact and identity details, such as your name, business or organization name, role, email address, phone number, and mailing address.
  • Appointment and inquiry details you share when you reach out or book a session.
  • Financial and tax information needed to provide our services, which may include income and expense records, bank and account statements, payroll and employee data, tax identification numbers, returns, and supporting documents.
  • Account and portal information, such as login credentials and the documents and messages you exchange with us.
  • Payment information you provide to pay invoices, which is processed by our payment provider.

Information we collect automatically

When you visit our website, we and our analytics providers may collect device and usage information, such as your IP address, browser type, pages viewed, links clicked, and the dates and times of your visits, through cookies and similar technologies.

Information from third parties

We may receive information from software and service providers you authorize us to use, such as accounting, payroll, and document platforms, and from public or business records, in order to deliver our services.

Recordings of calls and meetings

With notice and as permitted by law, we may record and retain telephone calls, video conferences, and in-person meetings for quality assurance, training, and legal protection. These recordings, along with any notes we take, are kept as part of your engagement records. Please see our Terms of Service for the consent that applies to recorded communications.

3.How we use your information

We use the information we collect to:

  • provide, perform, and support the services described in your engagement;
  • prepare and file returns, reports, and other deliverables you authorize;
  • communicate with you, schedule appointments, and respond to your requests;
  • process payments and manage our business records;
  • operate, secure, maintain, and improve our website and client portal;
  • send educational content, updates, and invitations to our members-only blog, webinars, and seminars, where permitted; and
  • comply with our legal, tax, and professional obligations and enforce our agreements.

We do not sell your personal information, and we do not use the financial or tax information you provide for advertising.

4.Tax information and your consent

Federal law, including Internal Revenue Code Section 7216, limits how a tax preparer may use or disclose the information you provide in connection with preparing your tax returns. We will not use your tax return information for any purpose other than preparing and supporting your returns, and we will not disclose that information to third parties, unless the law permits it without your consent or you give us your prior written consent. Where your consent is required, we will request it separately and clearly.

5.How we share information

We share information only as needed and as described here:

  • Service providers. With trusted vendors who help us operate, such as accounting, payroll, e-signature, secure storage, scheduling, and payment processors, who are permitted to use the information only to provide services to us.
  • With your direction or consent. With third parties you ask us to share with, such as your attorney, lender, or another adviser.
  • Legal and protective reasons. When required by law, regulation, subpoena, or government request, or to establish, exercise, or defend legal claims, or to protect the rights, property, or safety of our clients, our firm, or others.
  • Business transfers. In connection with a merger, acquisition, financing, or sale of assets, subject to appropriate confidentiality protections.

We do not sell or rent your personal information to third parties.

6.Financial privacy notice

As an accounting and tax firm, we handle nonpublic personal information and follow the financial privacy principles that apply to firms like ours under the Gramm-Leach-Bliley Act. We collect nonpublic personal information about you from the sources described above. We do not disclose this information about our clients or former clients to anyone, except as permitted or required by law or with your consent, such as to the service providers and for the purposes described in this Policy. We maintain physical, electronic, and procedural safeguards designed to protect this information, and we restrict access to those who need it to provide services to you.

7.Cookies and analytics

We use cookies and similar technologies to operate the website, remember your preferences, and understand how the site is used so we can improve it. You can set your browser to refuse some or all cookies or to alert you when cookies are being sent, although some parts of the website may not function properly without them. No method of transmission or storage is completely secure, however, and we cannot guarantee absolute security. Please use the secure portal we provide rather than standard email or text for sensitive information, and tell us promptly if you believe your account has been compromised.

9.How long we keep information

We keep your information for as long as needed to provide our services, maintain our business and accounting records, and meet our legal, tax, and professional retention obligations, which for certain tax and financial records can extend several years after an engagement ends. When information is no longer needed, we take steps to delete or de-identify it securely.

10.Your privacy rights

Depending on where you live, you may have certain rights regarding your personal information. We honor the rights that apply to you under the laws of your state.

Nevada residents

Nevada law gives Nevada consumers the right to submit a verified request directing a business not to sell certain covered personal information it has collected or will collect. We do not sell personal information as defined by Nevada law. You may still submit a request to us using the contact details below, and we will honor it as required.

California and other state residents

Residents of California and of other states that have comprehensive privacy laws may have rights to request access to the personal information we hold about them, to request correction or deletion, to obtain a portable copy, and to opt out of the sale or sharing of personal information or of targeted advertising. We will not discriminate against you for exercising these rights. Please note that information governed by financial and tax privacy laws may be exempt from some of these rights, and we may need to retain certain information to meet our legal obligations.

11.Children's privacy

Our website and services are intended for adults and are not directed to children under 13. We do not knowingly collect personal information from children under 13. If you believe a child has provided us with personal information, please contact us and we will take appropriate steps to delete it. We may process information about minors only as part of a client engagement, such as payroll or tax matters, at the direction of the responsible adult or organization.

12.Third-party links and services

Our website may link to third-party sites and tools that we do not control. This Policy does not apply to those third parties. We encourage you to review the privacy policies of any third-party services you use, including the software platforms we may use to deliver our services.

13.Email and text communications

With your permission, we may send you educational content, newsletters, and invitations. You can opt out of marketing messages at any time by using the unsubscribe link in an email, replying with the opt-out keyword to a text message, or contacting us directly. Even if you opt out of marketing, we may still send you messages that are necessary for your active engagement, such as appointment confirmations, document requests, and billing notices.
